Find the right company to buy, and the capital to buy it.
Whether you are a strategic buyer, a sponsor building a platform or a company raising growth capital for an acquisition or expansion, we define the target, screen candidates, support the process to close and introduce capital providers that fit. Transactions typically $50 million and above.
Who this is for
- Strategic acquirers in AI, digital and critical infrastructure.
- Sponsors and platforms making acquisitions or add-ons.
- Companies raising growth or late-stage capital to fund an acquisition or expansion.
Not a fit: companies looking to sell themselves, because we do not run sell-side processes; transactions under $50 million; buyers without authority or funding path to proceed.
How it works
- Conversation. Objectives, size, timing and constraints. No documents.
- NDA and engagement. Confidentiality and terms in writing, including fees, before information changes hands.
- Mandate. Your acquisition criteria and funding approach, written down and agreed.
- Sourcing and screening. Candidate companies that fit, with ownership and basic information verified before you spend time. Approaches to owners are confidential and one at a time, never a broadcast.
- Diligence, negotiation and funding. Support through diligence and negotiation, and introductions to capital providers whose criteria fit the transaction.
What we will ask for
The package, as a checklist (a secure data room is opened after the NDA):
- Acquisition criteria: sector, size, geography, control or minority
- Your strategic rationale and what you will not do
- Financial statements and capitalisation, for a company raising capital
- Funding approach: cash, debt, equity, co-investors
- Approvals required inside your organisation
- Timetable and who is authorised to proceed
- Prior acquisitions and integration approach
What shapes the outcome
| Factor | How it generally works |
|---|---|
| Target fit | Strategic fit and the owner's willingness to engage matter more than the number of companies approached |
| Owner motivation | Most good targets are not for sale. Timing and the owner's objectives drive whether a conversation becomes a transaction |
| Funding | Certainty of funding often decides who wins |
| Diligence | Clean information on both sides shortens the process |
| Confidentiality | Who is told, when, and under what terms |
These describe how this kind of transaction generally works. They are not terms we offer or a prediction of an outcome.
Where transactions get stuck
- The owner is not a seller at the price or terms you can offer.
- Information from the target is incomplete or inconsistent.
- Funding arrives late or with conditions.
- Change-of-control terms in key contracts.
- Internal approvals take longer than the owner will wait.
- Integration assumptions that do not hold up in diligence.
Fees
Our engagement terms, including fees, are agreed in writing at the start. Fees are weighted toward completion. We tell you early if a transaction is unlikely to get done, and why.
