Access to late-stage private shares, screened before it reaches you.
We introduce institutional and qualified buyers to holders of late-stage private company shares, after the position and the holder have been verified. Positions from $5 million.
Who this is for
Institutional and qualified buyers: funds, family offices, corporates, and accredited investors or qualified institutional buyers as the applicable rules require.
What you tell us
Your mandate, once, in writing. We update it when it changes.
- Sectors, stages and company characteristics you will consider
- Position size range
- Structure: direct shares, SPV interests, fund interests
- Your eligibility status: accredited investor, qualified institutional buyer or qualified purchaser
- Your tolerance for right-of-first-refusal timelines and company consent
- Information you need before engaging
- Settlement and documentation requirements
- Who receives introductions
What you receive
- A fit note first. An anonymised description of the position against your mandate. No company or holder name.
- Your yes or no. If yes, both sides sign the NDA.
- A verified package in an access-controlled data room: the class and rights of the shares, the transfer restrictions and the issuer's process, and ownership documents.
- A managed process through the issuer's steps to settlement.
Every view of the room is logged.
How we screen
- Identity, ownership and authority to sell
- Evidence the holder owns the shares, and which class
- The company's transfer restrictions and likely timetable
- Whether a structure such as an SPV is permitted
- Our own view of the information a buyer will receive
We do not replace your own diligence or investment judgment.
Fees
Our engagement terms, including fees, are agreed in writing before you commit. Fees are weighted toward completion.
Questions
Do you tell me what the shares are worth? No. We provide verified facts about the position. Valuation and the decision to buy are yours.
Will the company approve the transfer? That is the company's decision. We tell you what its documents say, and we tell you early if approval is unlikely.
What do you need from me? Your eligibility status, identity checks and a letter of representation, before substance is shared.
How do you keep information safe? NDA first, an access-controlled room, personal links with emailed one-time codes, a watermark on every page and a log of every view.
