Liquidity for holders of late-stage private shares, and access for qualified buyers.
Secondary transactions transfer existing shares or interests in a private company between holders, without the company issuing new shares. We advise holders of late-stage private company shares who want liquidity, and institutional and qualified buyers who want access. Positions we work on start at $5 million, typically $5 million and above.
How it works in a paragraph
Private company shares usually come with transfer restrictions: the company may hold a right of first refusal, require consent, or limit who can buy. A transaction is therefore a process with the company in it, not only a trade between two parties. Structures include direct transfers of shares, transfers of interests in a special-purpose vehicle that holds shares, and transfers of fund interests. Price is negotiated between the parties. We do not publish indicative prices. Nothing on this page is an offer or a recommendation to buy or sell any security.
